Business valuations generally arise in the context of one or more of the following three categories:

  1. Business Transactions: Transaction appraisals include acquisitions, mergers, leveraged buy-outs, initial public offerings, ESOPs, buy-sell agreements, and many other engagements. 
  2. Litigation: Valuations may arise in a litigation or (legal) context in connection with marital dissolution, bankruptcy, breach of contract, dissenting shareholder and minority oppression cases, economic damages computations, and other cases.
  3. Taxes: Valuations may also be conducted for tax reasons, including gift and estate taxes, estate planning, family limited partnerships, ad valorem taxation, and other tax-related reasons.

We also have experience in appraising cases dealing with: purchase or sale of closely held business or business interests, management buyouts, financial restructuring and recapitalization, analysis and advice concerning pending offers to purchase, minority shareholder disputes and litigation, divorce (equitable distribution), reasonable officer compensation determination in disputes with the Internal Revenue Service and mediation.
